Business Integrity

At Ultra Maritime, integrity and ethical conduct are central to who we are and how we operate. We know that the highest standards of ethics and compliance are critical to the long-term success of Ultra Maritime, and it is these standards that shape our relationships with employees, customers, suppliers, and other stakeholders.

We go beyond legal requirements to do what’s right, guided by principles of transparency, accountability, and sustainability. Our Board and executive leadership actively oversee governance risks, fostering a culture rooted in ethical behavior and sound decision-making.

Strong corporate governance is foundational to identifying and mitigating risk. We continuously review ethics, compliance, and risk exposure through our enterprise risk management program. All employees undertake annual training on key policies as well as critical topics such as anti-bribery and corruption, ensuring company-wide alignment with our ethical standards and regulatory obligations.

To support our culture of integrity, we maintain an anonymous, third-party ethics reporting platform (EthicsPoint) that is accessible to employees, contractors, partners, and other stakeholders worldwide. This platform enables individuals to confidentially report concerns related to ethical conduct, compliance violations, or other misconduct without fear of retaliation. Every report is taken seriously and reviewed promptly in accordance with our internal investigation procedures. Reports can be submitted 24/7 and in multiple languages, reinforcing our global commitment to ethical behavior and responsible business practices. Upholding integrity is a shared responsibility, and we empower all voices to play a role in maintaining the trust placed in us by our customers, communities, and regulators.

Anti-Corruption and Bribery

Ultra Maritime remains fully committed to enforcing anti-bribery and corruption standards with a “zero tolerance policy” across all areas of our business. Maintaining the highest ethical standards is essential to our integrity, reputation, and long-term success.

We recognize that the use of third-party intermediaries—such as consultants, agents, and distributors—can introduce compliance and reputational risks if not properly managed. As part of our corporate governance framework, we apply rigorous due diligence processes to vet all intermediaries prior to engagement. This includes screening for ethical conduct, legal compliance, conflicts of interest, and alignment with our Code of Conduct and anti-bribery and corruption policies. Intermediary relationships are subject to ongoing monitoring, contractual safeguards, and periodic review by internal compliance and legal functions. We are committed to ensuring that all third-party representatives uphold the same standards of integrity and accountability that we apply to our own operations.
